SEBI Issues Revised Investor Charter for RTAs

SEBI has issued a revised Investor Charter for Registrars to an Issue and Share Transfer Agents (RTAs) via its circular dated May 14, 2025 which comes into effect immediately and replaces the 2021 Charter while also amending Clause 29 of the Master Circular for RTAs.

The revised Charter is part of SEBI‘s effort to strengthen investor protection, improve service standards, and align grievance redressal mechanisms with SCORES 2.0 and SMARTODR.

In addition to outlining the 𝐯𝐢𝐬𝐢𝐨𝐧, 𝐦𝐢𝐬𝐬𝐢𝐨𝐧, and 𝐬𝐞𝐫𝐯𝐢𝐜𝐞𝐬 𝐨𝐟𝐟𝐞𝐫𝐞𝐝 𝐛𝐲 𝐑𝐓𝐀𝐬 𝐭𝐨 𝐢𝐧𝐯𝐞𝐬𝐭𝐨𝐫𝐬, the revised Investor Charter also details:

1. 𝐓𝐢𝐦𝐞𝐥𝐢𝐧𝐞𝐬 in relation to various services provide by the RTA,
2. The 𝐫𝐢𝐠𝐡𝐭𝐬 𝐨𝐟 𝐢𝐧𝐯𝐞𝐬𝐭𝐨𝐫𝐬,
3. Key 𝐃𝐎𝐬 𝐚𝐧𝐝 𝐃𝐎𝐍’𝐓𝐬 𝐟𝐨𝐫 𝐢𝐧𝐯𝐞𝐬𝐭𝐨𝐫𝐬,
4. The 𝐠𝐫𝐢𝐞𝐯𝐚𝐧𝐜𝐞 𝐫𝐞𝐝𝐫𝐞𝐬𝐬𝐚𝐥 𝐦𝐞𝐜𝐡𝐚𝐧𝐢𝐬𝐦, including available modes and escalation pathways, and
5. The requirement to 𝐩𝐮𝐛𝐥𝐢𝐬𝐡 𝐜𝐨𝐦𝐩𝐥𝐚𝐢𝐧𝐭-𝐫𝐞𝐥𝐚𝐭𝐞𝐝 𝐝𝐚𝐭𝐚 against the RTA on its website for greater transparency.

SEBI has directed the RTAs to bring the Investor Charter to the attention of both existing and prospective shareholders by:
(a) disseminating the Investor Charter through their websites and via email communication; and
(b) prominently displaying the Investor Charter at conspicuous locations within their office premises
