SEBI’s Order Against ZEEL: What It Means for the Promoter Warrant Issue

Securities and Exchange Board of India (SEBI)’s order against Zee Entertainment Enterprises Ltd. (ZEEL) imposes a two-month restraint on the company from accessing the securities market and a one-year prohibition on promoters Subhash Chandra and Punit Goenka from buying, selling or otherwise dealing in securities, raising important questions regarding the implementation of ZEEL’s proposed promoter warrant issue.

In this context, Mr. Sumit Agrawal, Managing Partner, Regstreet Law Advisors, was quoted by The Economic Times and moneycontrol.com.

He observed that while ZEEL may be able to proceed with the fundraise after the company’s two-month restraint expires, the continuing one-year prohibition on its promoters could materially affect any promoter-linked subscription.

According to Mr. Agrawal, a subscription routed through an entity controlled or beneficially owned by the promoters could be viewed as an attempt to circumvent SEBI’s order. Consequently, the proposed warrant infusion may remain stalled unless the Securities Appellate Tribunal stays or modifies the order, or SEBI clarifies that the proposed allottee may subscribe independently. In the absence of such relief, ZEEL may be required to restructure the fundraise, identify an unconnected investor, or seek fresh approvals and pricing once the regulatory position is resolved.

The order therefore creates a significant implementation risk for the proposed fundraise: even after ZEEL’s own restraint expires, a promoter-linked subscription may remain vulnerable to regulatory challenge, potentially resulting in delay, restructuring or fresh pricing of the warrant issue.
