The Kathpalia, MD & CEO of IndusInd Bank Precedent: SEBI Settlement Dynamics in Insider Trading Cases

In today’s The Economic Times article, it was reported that Sumant Kathpalia, former MD & CEO of IndusInd Bank, has offered ₹5.21 crore to settle insider trading charges brought against him by SEBI. The case relates to trading on unpublished price sensitive information (UPSI) concerning accounting irregularities, information allegedly known to a select few over a year before disclosure to shareholders and the public.

As per disclosures in the public domain, the concerned individuals reportedly executed trades exceeding ₹100 crore on stock exchanges.

SEBI has reportedly impounded around ₹19.8 crore from five individuals based on notional gains arising from UPSI-based trades. However, it is unclear whether any individual has been permanently barred from accessing the securities markets or associating with listed companies.

This case highlights the evolving nature of SEBI’s settlement regime, and the accompanying tension between regulatory discretion and enforcement transparency. It also revives a strong sentiment expressed by former SEBI Chairman U.K. Sinha, who once likened insider trading to rape in criminal law, emphasizing that SEBI should not be comfortable settling such violations, especially where strong evidence exists.

If settled, this may set a precedent where enforcement and development of insider trading law risk becoming blurred.
